The Role Responsibilities
Awareness and understanding of the Group's business strategy and model appropriate to the role.
Responsible for the delivery of key processes to do with legal entity management and governance, including:
Portfolio management of certain UK and Dutch subsidiary companies, preparation and review of minutes, meeting logistics, statutory filings, and maintenance of company information on Blueprint OneWorld. Where applicable, supporting in the liquidation process of any of the entities in their portfolio (incl. the drafting of GCS section of the corporate action forms).
Lead in review and collation of information required in connection with the regulatory filings for overseas branches of Standard Chartered Bank (incl. accounts, director changes and quarterly submissions);
To assist with the publishing of stock exchange announcements to the London Stock Exchange
Running the accounts timetable and coordinating with finance and the Group's auditors as well as attendance at and arrangements for accounts meetings.
Assisting with group structure regulatory reporting ( Korean Filing).
To undertake general company secretarial matters
To deal with tasks and general queries from within the Group's network which come through the secretariat email inbox, including the provision of Group entity information, delegated authorities, document execution and subsidiary governance.
As page owner, maintain the information provided on GCS' intranet pages.
Support the Director, Risk and Operations Group Corporate Secretariat and Process Owners with the sampling and testing of controls to ensure compliance with agreed ORF controls and standards and GCS policies.
Be familiar with the Group's Enterprise Risk Management Framework ("ERMF") and relavant Frameworks (including Compliance and Operational Risk) to provide support and guidance on how these impact the function's policies and procedures.
To assist the Executive Director, Subsidiary Governance EA and Data Governance with the development, management and oversight of Blueprint, including compliance with relevant policies, delivering the GCS six-monthly assurance process, controls and risk assessments (eg Volcker).
To support the Executive Director, Subsidiary Governance EA and Data Governance with Subsidiary Governance Policy assurance, processes, reporting and approvals - including the roll out of initiatives and communications.
Responsible for ensuring that Department Operating Instructions / Procedures notes are created, maintained, updated and reviewed annually for all the above key responsibilities assigned.
